Initially announced on June 9, 2025 BLACKROCK MUNIHOLDINGS FUND made a stock offer for BLACKROCK MUN INC TRUST II of 0.88854453 shares per BLACKROCK MUN INC TRUST II share held. BLACKROCK MUN INC TRUST II shareholders approved the Merger on October 15, 2025. Pending the completion of customary closing conditions, the Merger is expected to be completed on February 9, 2026. Trading in shares of BLACKROCK MUN INC TRUST II is expected to be halted effective February 9, 2026. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• BLACKROCK MUN INC TRUST II will be removed from the Index.
• The shares of BLACKROCK MUNIHOLDINGS FUND (MHD.N) will be increased according to the stock terms of the transaction.
