Acquisition | OCEAN WILSONS HOLDINGS LTD | 24th September 2025

On July 28, 2025 the boards of OCEAN WILSONS HOLDINGS LTD and HANSA INVESTMENT CO LTD announced that they had agreed the terms of recommended all share combination of OCEAN WILSONS HOLDINGS LTD pursuant to which HANSA INVESTMENT CO LTD will acquire the entire issued and paid up share capital of OCEAN WILSONS HOLDINGS LTD. Each shareholder of OCEAN WILSONS HOLDINGS LTD will receive 1.4925 new HANSA INVESTMENT units. Each new HANSA INVESTMENT CO LTD unit will comprise of one voting New Hansa Ordinary Share and two non-voting New Hansa ‘A’ Ordinary Shares. The scheme is subject to court sanction hearing expected on September 22, 2025. The last trading date is expected to be September 23, 2025.

The treatment below will be applied to the following indices:

• OCEAN WILSONS HOLDINGS LTD will be removed from the Index.
• The weight of OCEAN WILSONS HOLDINGS LTD (OCN.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 24/09/2025

• OCEAN WILSONS HOLDINGS LTD will be removed from the Index.
• The shares of HANSA INVESTMENT CO LTD-A O (HANa.L) will be increased according to the stock terms of the transaction.
• The value of HANSA INVESTMENT CO LTD (HAN.L) based on the stock terms of the transaction will be distributed pro rata to remaining Index constituents.
• The cash portion of the transaction will be distributed pro rata to remaining Index constituents.
