Informative Notice | CONTINENTAL AG | Spin Off

Solactive AG notes the announcement of the executive board of CONTINENTAL AG (CONG.DE) whereby it resolved with the approval of the supervisory board to legally separate and Spin-Off the Sector Automotive to AUMOVIO SE.

The annual general meeting of Continental AG approved the Spin-off on April 25, 2025. The Spin-Off will lead to two fully independent companies.

CONTINENTAL AG (CONG.DE) shareholders will receive one share in AUMOVIO SE for every two CONTINENTAL AG (CONG.DE) shares held at the time of the Spin-Off, i.e. a share allocation ratio of 2:1.

The price of CONTINENTAL AG (CONG.DE) will be quoted ex Spin-Off, expected on September 18, 2025 after the Spin-Off becomes effective.

Trading in shares of AUMOVIO SE shares will commence on Xetra Stock Exchange on September 18, 2025.

On the effective date of the spin-off ie September 18, 2025 , Solactive AG will treat this event as per Equity Index Methodology whereby the spin -off company (AUMOVIO SE ) will be added to the index with a price of zero. The Index calculation will be switched to official prices once the spin-off company starts to trade.
