Announcement
On November 29, 2024 LATIN RESOURCES LTD published the Scheme booklet in relation to the proposal by PILBARA MINERALS LTD to acquire 100 percent of the share capital of LATIN RESOURCES LTD for 0.07 new PILBARA MINERALS LTD shares per LATIN RESOURCES LTD share held. In conjuction with the scheme, LATIN RESOURCES LTD is also proposing to undertake a demerger of its non core Australian, Peruvian and Argentinian mineral exploration assets and projects by way capital reduction via a pro rata in specie distribution of ESG MINERALS LTD shares which each LATIN RESOURCES LTD shareholder will receive 1 ESG MINERALS LTD share per 50 LATIN RESOURCES LTD shares held. ESG MINERALS LTD will initially be an unlisted public company with the intention to undertake an initial public offer and list on the ASX in due course following the demerger. A LATIN RESOURCES LTD shareholder meeting is scheduled for January 16, 2025 to vote and approve the scheme. In case shareholders approve the scheme, the last day of trading with the right to participate in the demerger is January 20, 2025 and the effective date of the demerger is January 21, 2025.
