Acquisition | R1 RCM INC | 20th November 2024

Initially announced on August 1, 2024, TowerBrook Capital Partners and Clayton, Dubilier & Rice made a cash offer for R1 RCM INC of USD 14.30 per R1 RCM INC share held. R1 RCM INC shareholders approved the proposed Acquisition at a meeting on November 14, 2024. The Acquisition is expected to be completed on November 19, 2024. The last trading day in shares of R1 RCM INC is expected to be November 18, 2024. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• R1 RCM INC will be removed from the Index.
• The weight of R1 RCM INC (RCM.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 20/11/2024
