Acquisition | IQGEO GROUP PLC | 23rd September 2024

On May 14, 2024 GEOLOGIST BIDCO LIMITED and IQGEO GROUP PLC announced that they had reached agreement on terms of cash offer to be made by GEOLOGIST BIDCO LIMITED. The acquisition will be effected by means of Court sanctioned scheme of arrangement. Each shareholder of IQGEO GROUP PLC will receive GBP 4.8 in cash for every share held. On 28 June 2024 the scheme was approved by shareholders at the Court meeting. The Scheme Court Hearing to sanction the Scheme is scheduled to be held on 19 September 2024. The last day of trading is expected to be September 20,2024.

The treatment below will be applied to the following indices:

• IQGEO GROUP PLC will be removed from the Index.
• The weight of IQGEO GROUP PLC (IQG.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 23/09/2024
