Initially announced on December 12, 2023 ORRSTOWN FINANCIAL SERVICES INC made a stock offer for CODORUS VALLEY BANCORP INC of 0.875 shares per CODORUS VALLEY BANCORP INC share held. CODORUS VALLEY BANCORP INC shareholders approved the Acquisition on May 30, 2024. ORRSTOWN FINANCIAL SERVICES INC shareholders approved the Acquisition on May 30, 2024. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on July 1, 2024. Trading in shares of CODORUS VALLEY BANCORP INC is expected to be halted effective July 1, 2024.

The treatment below will be applied to the following indices:

• CODORUS VALLEY BANCORP INC will be removed from the Index.
• The shares of ORRSTOWN FINANCIAL SERVICES INC (ORRF.OQ) will be increased according to the stock terms of the transaction.
