Acquisition | ASCENTIAL PLC | 9th October 2024

On 24 July 2024, the boards of directors of ASCENTIAL PLC and INFORMA PLC announced that they had reached agreement on the terms of a recommended cash offer to be made by INFORMA PLC for the entire issued and to be issued share capital of ASCENTIAL PLC. Each shareholder of ASCENTIAL PLC will receive GBP 5.68 in cash for every share held. On 4 September 2024, Ascential announced that at a Court Meeting and General Meeting held on that date, all shareholder resolutions relating to the Acquisition were approved by the requisite majorities. The scheme remains subject to Court Hearing scheduled on October 8,2024. The delisting is expected to be completed on October 9, 2024.

The treatment below will be applied to the following indices:

• ASCENTIAL PLC will be removed from the Index.
• The weight of ASCENTIAL PLC (ASCL.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 09/10/2024
