Acquisition | CORECARD CORP | 3rd November 2025

Initially announced on July 30, 2025 EURONET WORLDWIDE INC made a stock offer for CORECARD CORP. Each share of CORECARD CORP will exchanged for shares of EURONET WORLDWIDE INC common stock equal to $30 divided by the 15-day volume wieghted average trading price of EURONET WORLDWIDE INC common stock ending on and including the second full trading day prior to the Effective Time. If the EURONET WORLDWIDE INC Stock Price is greater than or equal to $107.7997, the Exchange Ratio will be 0.2783; and if the EURONET WORLDWIDE INC Stock Price is equal to or less than $95.4798, the Exchange Ratio will be 0.3142. Based on EURONET WORLDWIDE INC price being less than $95.4798 the Exchange Ratio will be 0.3142. Shareholders approved the Acquisition on October 28, 2025. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on October 31, 2025, 2025. Trading in shares of CORECARD CORP is expected to be halted effective October 31, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

  • CORECARD CORP will be removed from the Index.
  • The weight of CORECARD CORP (CCRD.N) based on its last close price will be distributed pro rata to remaining Index constituents.
  • Effective Date (open): 03/11/2025
